Code of Ethics

1. Preamble

The Ethical Code of the CEO Club has been developed by the norms of the Declaration of Human Rights, the current legislation of Ukraine, and the norms and principles of business ethics. The Code does not describe every possible situation that a club member may encounter, but it encompasses the fundamental principles of behavior for members and associates of the club.

2. Glossary

In this Code, terms are used as follows:
✓ Club: The official name of the organization.
✓ Mission: The primary purpose of establishing the organization, the essence of the Club's activities.
✓ Corporate Values: Everything that fosters trust and unites members of the Club into a cohesive whole.
✓ Corporate Ethics Code of the Club or Ethical Code: A compilation of norms, rules, and principles that define communication within the Club and the relationships of members with the Club as an organization, with partners, contractors, and other stakeholders.
✓ Club Member: A participant in the association who meets the formal criteria for membership, shares the values and mission of the organization, and has paid membership fees.
✓ Candidate for Club Membership: An individual expressing a desire to join the community of Club members and completing the corresponding membership application form.
✓ Associate Member of the Club: An individual meeting formal membership criteria, undergoing compliance checks, and paying membership fees for a specified trial period in the Club.
✓ Friend of the Club: A special status granted to a third party by the Club Council, initiated by the President/Director/Member of the Club Council/Membership and Ethics Committee.
✓ Counterparties: Individuals, institutions, or organizations associated with the Club through existing contracts or collaboration.
✓ Club Policies: A system of standard rules that govern the behavior of Club members, realize their goals and interests, as well as the goals and interests of the Club.
✓ Conflict of Interest: A situation where the personal interest of a Club member affects the decision-making process and hinders the achievement of the Club's interests.
✓ Conflict: Hostile actions between Club members accompanied by violations of universal values, rules, and norms of behavior.
✓ Complex Ethical Situation: A situation where the moral perceptions of two Club members or a Club member on one side and the Club on the other, a Club member and a Club employee, or a Club member/Club employee and a Counterparty clash.

3. Objectives of the Code

✓ Establish corporate standards of ethical behavior and interaction among members and associates of the CEO Club.
✓ Regulate the actions of Club members and associates in complex ethical situations or conflicts.

4. Scope of the Code

✓ The Code includes rules of conduct for all Club members and associates.
✓ The Code regulates internal communication among members and communication with business partners of the Club, government authorities, and other counterparties.
✓ Provisions of the Code can be amended and supplemented by the decision of the Membership and Ethics Committee by the principles and norms of international law, current legislation of Ukraine, and business ethics norms, and are approved by the Club Council (Board).
✓ The provisions of the Code apply to all structures and units of the Club.

5. Mission
✓ The mission of the CEO Club is to create and enhance an effective platform for uniting business-oriented individuals, focused on personal growth and development, to strengthen business potential, promote social partnership, and implement comprehensive socially beneficial projects for positive changes in the country's immediate future.

6. CorporateValues

✓ Mutual Respect:
We consider personal boundaries and interests of each other, recognize and acknowledge our virtues, notice and consider individuality, and adhere to a high sociocultural standard of communication and interaction. We contribute to creating a friendly environment based on respect for each individual and a commitment to working together to achieve common results.

✓ Trust:
We build relationships that allow each participant to be confident in the honesty, openness, and conscientiousness of one another. We share common values and understand trust as a readiness to meet criteria, and adhere to rules and policies established in the Club. We establish trust through consistent behavior, aligning it with our commitments, promises, and words.

✓ Professionalism:
We deem it necessary to systematically and effectively conduct activities to achieve the goals of the Club in line with the commitments undertaken and to be responsible for the results obtained. We are willing to acknowledge failures and take responsibility for them. We can find motivation and continue working, inventing new ways and approaches, seeking solutions to accomplish tasks and achieve goals.

✓ Learning:
We value and contribute to the continuous process of self-development of Club members, allowing individuals to realize themselves, improve their personal qualities, progress intellectually, thereby making the most significant contribution to the development of the Club and society's development.

7. Principles of Corporate Ethics of the CEO Club

✓ The Club acknowledges the principle of the supremacy of Law in all areas of its internal and public activities.
✓ The Club builds relationships with all its members and associates based on the principles of respecting human rights, and personal dignity, creating equal opportunities, honesty, objectivity, and conscientiousness.
✓ The Club engages in dialogue and relations with local and international communities, government authorities, and local self-government on the principles of openness, honesty, conscientiousness, partnership, and cooperation.
✓ The Club does not participate in political and religious activities.
✓ The Club fully recognizes its responsibility to society, and actively initiates and participates in the development and implementation of socially significant projects, considering such activities as an integral part and mandatory condition for achieving its strategic goals.

8. Principles of Corporate Ethics for a Member of the CEO Club

8.1. Relations with the Club:
✓ A Club member builds relationships with the Club on the principles of loyalty, and conscientious adherence to and execution of Club policies. Club members are the foundation of the Club's reputation. Therefore, it is essential to be aware that any unethical or anti-social actions harm the reputation of the Club.
✓ A Club member takes a proactive stance on ethics and membership issues, informing the relevant Club bodies (President, Club Council, Membership and Ethics Committee) about known cases of Ethical Code violations and/or non-compliance of any Club member with formal membership criteria.
✓ A Club member reports potential reputational risks to the Club resulting from personal activities in any field of activity, including those unrelated to Club membership.
✓ A Club member protects the reputation of the Club, and speaks respectfully about the Club and its members both internally and externally.
✓ A Club member does not use the intellectual property and resources of the Club for the realization of potentially competitive projects.
✓ A Club member participates in the social projects of the Club.
✓ A Club member promptly pays membership fees.
✓ In the case of an unresolved conflict between Club members or a complex ethical situation, the Club Council/Membership and Ethics Committee reviews the case and informs the parties of its conclusion.

8.2. Relations between Club Members:
✓ Relationships and cooperation are built on the principles of mutual respect, mutual assistance, and friendliness.
✓ A Club member supports a friendly and diversity-tolerant atmosphere within the Club.
✓ A Club member is courteous in speech and behavior toward other Club members, as well as toward guests, speakers, and employees.
✓ A Club member refrains from non-constructive and unsubstantiated criticism of colleagues, and exercises tact in justified criticism.
A✓  Club member resolves conflicts in a courteous manner, involving only the parties and witnesses in the consideration of the dispute, avoids judgmental statements, and supports their position in the conflict with facts.
✓ A Club member adheres to etiquette rules in all types of interactions, does not violate meeting and assembly regulations, and does not divert attention with irrelevant information at work meetings, online communications, or phone calls.
✓ A Club member apologizes, including publicly, for inappropriate behavior.
✓ A Club member does not disclose contacts and personal information of fellow Club members without the owner's prior consent.
✓ A Club member, upon request, shares their expertise, ideas, and opportunities with other Club members.
✓ A Club member refrains from aggressive marketing and does not impose their products/services in personal contact or online.

8.3. Club-Contractor Relations:
✓ Club members and employees have the right to enter into relations with contractors on behalf of the Club only if they have appropriate authorizations from the President, Director, or Club Council and properly documented.
✓ In relations with contractors, Club members and employees authorized to represent the Club must adhere to the principles of respect and conscientiousness, prioritize the interests of the Club, and demonstrate objectivity and economic feasibility.

8.4. Confidentiality and Non-Disclosure of Information
Members and employees of the Club maintain the confidentiality of information and materials from all known internal club communications, except for public ones.
✓ Members and employees of the Club should not disclose information about contractors unless disclosure of such information is regulated by law.

8.5. Public Activities of Club Members

✓ Members and employees of the Club are free to engage in any legally permissible political, religious, and public activities.
✓ Members and employees of the Club should not use the name of the Club, financial, material, or any other resources of the Club for their political, religious, or public activities.

9. Use of Club Resources

✓ Members and employees of the Club are obliged to handle the Club's property and all resources provided by the Club with maximum care.
✓ All types of Club resources must be used exclusively to achieve the goals of the Club and on behalf of the Club.
✓ Club resources, including but not limited to: electronic communication domain, CEO name, logo, letterhead, Club-owned equipment (such as computers and peripherals, transportation, etc.), time and effort of Club members and employees.

10. Conflict of Interest

✓ Members and employees of the Club must avoid situations where the personal interest of a member or employee of the Club may influence the decision-making process and thus harm the financial or reputational interests of the Club, and hinder the Club in solving tasks or achieving goals.

11. Final Provisions
✓ Throughout the entire period of membership in the Club, all members without exception, as well as Club employees, must adhere to the principles and policies outlined in the Code. Each member and employee of the Club is personally responsible for compliance with the Code.
✓ If a Club member cannot independently resolve a conflict or complex ethical situation, the Club member may seek assistance from the Membership and Ethics Committee.
✓ A Club member must notify the Membership and Ethics Committee of the execution of the Committee's and/or Club Council's decision regarding the member.
✓ If a Club member fails to comply with the Club Council's decision within the specified term and manner, and/or does not notify the Membership and Ethics Committee of the execution of the decision, such a Club member is automatically considered expelled from the Club on the date following the last day of the set deadline. Membership fees are non-refundable upon expulsion from the Club.
